1. Acceptance of Terms

By registering for, accessing, or using Courierly ("the Software", "the Service", "the Platform"), you ("User", "Shop Owner", "Business") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines published by us.

These Terms constitute a legally enforceable agreement between you and the operator of Courierly ("we", "us", "our", "the Company").

By clicking "I Agree" or "Create Free Account" on our registration page, you explicitly confirm:
  • You have read and understood these Terms in full.
  • You consent to the collection, processing, and use of your personal and business data as described herein.
  • You are at least 18 years of age and legally authorised to enter into this agreement on behalf of your business.
  • If registering on behalf of a company, you have the authority to bind that company to these Terms.

2. Description of Service

Courierly is a Software-as-a-Service (SaaS) courier hub management platform designed for courier shops, franchise operators, and logistics businesses in India. The Service includes:

3. Eligibility & Registration

3.1 Who May Register

The Service is available to businesses and individuals operating courier collection centres, logistics hubs, or shipping services in India. You must be:

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. We reserve the right to suspend or terminate accounts with false or misleading information.

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorised use of your account. We are not liable for losses resulting from unauthorised access due to your failure to secure your credentials.

4. Subscription & Billing

4.1 Free Trial

All new accounts receive a 30-day free trial with full access to the Service. No payment information is required during the trial. At the end of the trial period, you must subscribe to continue using the Service.

Payments are processed securely through Razorpay (a PCI-DSS compliant payment gateway). We do not store your card details. By making a payment, you also agree to Razorpay's Terms of Service.

4.4 Renewal

Subscriptions are not auto-renewed. You will receive email reminders 7, 3, and 1 day before expiry. You must manually renew via the Subscription section of the app.

4.5 Grace Period

After subscription expiry, a 7-day grace period is provided during which the Service remains accessible. After the grace period, access will be restricted until renewal.

4.6 Plan Switching

You may switch plans at any time — either during a renewal or mid-cycle. Mid-cycle upgrades take effect immediately upon successful payment.

4.7 Refund Policy

Subscription fees are non-refundable once the billing period has commenced, except where required by applicable Indian consumer protection law. Refund requests must be submitted within 3 days of payment to admin@yrsinfotech.com.

4.8 GST

All prices are exclusive of Goods and Services Tax (GST) at the applicable rate (currently 18% for SaaS services under HSN/SAC 998313). GST invoices are provided upon request for Annual Pro subscribers.

All data is stored on servers located in India. We do not transfer personal data outside India except where necessary for services like email delivery (e.g., SMTP providers), in which case adequate contractual safeguards are in place.

This section constitutes our Privacy Notice as required by the Digital Personal Data Protection Act, 2023 (DPDPA 2023), India's primary data protection legislation.

Courierly is the "Data Fiduciary" as defined under DPDPA 2023 for data collected directly from shop owners and staff. Shop owners are "Data Fiduciaries" with respect to their customers' shipment data processed through the platform.

While we implement industry-standard security measures, no system is 100% secure. In the event of a data breach affecting your personal data, we will notify you within 72 hours as required by DPDPA 2023.

The Software, its source code, design, features, trademarks, and all related materials are the exclusive intellectual property of the Company, protected under the Copyright Act 1957, Trade Marks Act 1999, and applicable international IP laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Software solely for your business operations during your active subscription period. You may not copy, modify, distribute, sell, sublicence, reverse-engineer, or create derivative works from the Software.

Your business data (bookings, customers, etc.) remains your property. We do not claim any ownership over your business data.

You agree not to use the Service to:

12. Disclaimer & Limitation of Liability

12.1 Service Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, error-free operation. Planned maintenance will be communicated in advance where possible.

12.2 Limitation of Liability

To the maximum extent permitted by applicable Indian law, the Company's total liability to you for any claim arising from the use of the Service shall not exceed the amount paid by you in the 3 months immediately preceding the claim.

We are not liable for: indirect, incidental, or consequential damages; loss of profits or revenue; loss of business data; or delays caused by third-party courier partners.

12.3 Third-Party Services

We are not responsible for the actions, services, or policies of third-party courier partners integrated with the platform. Shipment delivery, COD collection, and returns are governed by the respective courier company's terms.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claim, demand, liability, damages, costs, or expenses (including legal fees) arising from:

You may terminate your account at any time by contacting support. Upon termination, your access to the Service will cease, and your data will be retained per the Data Retention policy (Section 9).

We may suspend or terminate your account with immediate effect if:

In non-urgent cases, we will provide 14 days' notice before termination. No refunds will be issued for remaining subscription days upon termination for cause.

As required under the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and DPDPA 2023, we have designated a Grievance Officer:

Escalation: If unresolved, you may file a complaint with the Data Protection Board of India (once constituted under DPDPA 2023) or approach the consumer forum under the Consumer Protection Act 2019.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

For international users (if any), these Terms incorporate data processing provisions compliant with EU GDPR (Regulation 2016/679) for users in the European Economic Area, with India as the primary governing jurisdiction.

We reserve the right to modify these Terms at any time. When we make material changes, we will:
